TERMS & CONDITIONS OF USE

This will constitute a legally binding Agreement ("Agreement") between you and Envision. Please read this Agreement completely. You will be required to consent to this Agreement and its terms as a condition to continue to use this site. You may not use this site without accepting the terms of this Agreement. If you choose not to accept our terms, you may not use this site.

Envision is a stock photography agency in the business of licensing photographs created by the photographers we represent. Copyright of all photographs, paintings and illustrations (collectively "Photographs") on this web site are owned by our photographers and artists. United States Federal Copyright Law, the Berne Convention, The Digital Millennium Copyright Act of 1998 and other relevant laws protect all Photographs and other content on this site.

COMP USE

All Photographs on this site may be used solely for in-house viewing, presentations and comprehensive layouts ("Comps") only without fee.

ADDITIONAL RIGHTS

Additional rights to use these Photographs are only granted in writing by Envision. Upon execution of a license agreement and payment of an agreed fee by a recipient, a license is granted to use the Photographs for the use specified in the license agreement and for no other purpose. Unless otherwise specified, such use is granted for the United States only. Recipient does not acquire any right, title or interest in or to any Photograph, including, without limitation, any electronic reproduction or promotional rights. Recipient agrees not to make, authorize or permit any use of the particular Photograph other than as specified in the license agreement. All other rights are reserved by Envision and/or its photographers and artists.

GRANT OF LICENSE

Envision grants to you a non-exclusive, non-transferable right to copy the Photographs you have selected onto your computer hard drive or disk and to use the Photographs on one computer with one user at any time but ONLY IN THE UNITED STATES for no charge. The Photographs may only be copied, modified and incorporated into materials for Comps. The Comps can only be used for in-house presentations, storyboards or rough draft designs for yourself and your clients. You may not tamper with or intentionally remove any Copyright Management Information such as, but not limited to Datamark or Digimarc.

Usage of any Photographs beyond the limited Comps outlined above constitutes willful copyright infringement and will be punishable to the fullest extent of the law. Envision and its photographers retain all rights not expressly granted by this Agreement.

NO MODEL RELEASES

No model or any other releases exist on any Photograph unless otherwise indicated by Envision in writing. You agree not to use the Photographs for pornographic, defamatory, libelous or other unlawful use, nor violate any person's right of privacy or publicity; or infringe upon any trade name, trademark, service mark of any entity. You agree to indemnify and hold Envision harmless against all claims, liability, damages, costs and expenses, including any legal fees and expenses arising out of any breach or alleged breach of this Agreement or of the representations or warranties made herein.

AS IS

PHOTOGRAPHS, CAPTIONS AND OTHER INFORMATION ARE PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING THOSE OF MARKETABILITY AND FITNESS FOR ANY PARTICULAR PURPOSE. ENVISION IN ITS CAPACITY OF AGENT MAKES NO WARRANTY OR REPRESENTATION REGARDING THE COMPLETENESS OR ACCURACY OF INFORMATION.

NO LIABILITY

Under no circumstances will Envision, its employees or photographers be liable for any damages whatsoever arising out the use of or inability to use any Photograph or for the inability to obtain certain rights to a particular Photograph. In any event, Envision's liability shall be limited to the fee paid for such use.

Any and all disputes arising out of, under, or in connection with this Agreement, shall be determined in State or Federal Courts of New York. This Agreement shall be interpreted under, and governed by, the laws of the State of New York. The losing party shall pay the legal fees and expenses of the prevailing party.

Copying or downloading any Photograph from this web site constitutes an agreement to these terms.
